Donation and Aid Policy

Compliance with Capital Markets Legislation, as stipulated in our Articles of Association, is the primary principle guiding the Company's donations and aids and is taken into account in this Donation Policy.

In this context, the principles of the Company's Donation and Aid Policy are set out below:

The Donation and Aid Policy is adopted and amended upon the recommendation of the Board of Directors to the General Assembly, following General Assembly approval.

The Board of Directors is authorized to make donation and aid decisions throughout the fiscal year; information regarding the amount and beneficiaries of such donations and aids is presented to shareholders as a separate agenda item at the Annual Ordinary General Assembly.

In the event that donations and aids made during the year amount to at least 1% of the most recently publicly disclosed consolidated balance sheet total, or the aggregate of donations and aids below 1% reaches at least 1% of the most recently publicly disclosed balance sheet total, such donations and aids shall additionally be disclosed to the public via a material event disclosure.

In this context, the Company may make donations and aids to public-benefit foundations, foundations and associations, public institutions and organizations, municipalities, villages, universities, institutions and organizations engaged in scientific research and development activities, educational institutions, students, and similar persons and organizations; and to the relevant public institution, provincial special administration, the Red Crescent, and similar organizations in regions affected by natural disasters such as earthquakes, floods, and avalanches.
